Shopps Terms of Use

1. Acceptance of these terms

These Terms of Use ("Terms") are a legal agreement between you and NoorLyfe ("we", "us", "our"), governing your use of the Shopps app ("Shopps", "the app"). By downloading, accessing, or using Shopps, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the app.

You must be old enough to form a binding contract in your country to use Shopps and to purchase a subscription.

2. Your licence to use Shopps

We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use Shopps on Apple devices you own or control, for your own non-commercial use, in accordance with these Terms and the App Store Terms of Service. We reserve all rights not expressly granted to you.

3. What Shopps is (and isn't)

Shopps is a personal organisation tool. It lets you save products you are considering, add notes and deadlines, track prices over time, and receive reminders. It is provided for convenience and general information only.

4. Subscriptions, billing and cancellation

Shopps offers an optional paid subscription, "Shopps Pro", as an auto-renewable subscription sold through the Apple App Store.

• Plans and price: Pro is offered on a monthly or annual basis. The subscription title, length, and full price are shown in the app at the point of purchase and localised to your region by Apple.
• Billing: payment is charged to your Apple Account at confirmation of purchase.
• Auto-renewal: your subscription renews automatically for the same period at the then-current price unless you turn off auto-renewal at least 24 hours before the end of the current period. Your Apple Account is charged for renewal within 24 hours before the period ends.
• Managing and cancelling: you can manage or cancel at any time in your Apple Account settings. Cancelling stops future renewals; it does not retroactively refund the current period, and your access continues until the end of the paid period.
• Free trials: if a free trial is offered, its length and the price charged afterwards are shown before you subscribe. Any unused portion of a free trial is forfeited when you buy a subscription.
• Price changes: if we change subscription prices, the change applies to future renewals, and Apple will seek your consent where required before charging a higher price.
• Refunds: purchases are processed by Apple, and refunds are handled by Apple under its policies. We do not process payments and cannot issue refunds directly.

5. Prices, deadlines and third-party information

Prices, currencies, availability, restock status and similar details are read from public retailer web pages and other sources. They can differ from the real price you would pay at checkout — for example because of shipping, taxes, member or basket discounts, promotional codes, regional pricing, currency handling, or simple changes since the last check. Some pages cannot be read at all.

Return and warranty deadlines, and any store-policy information shown, are estimates provided for general guidance only. Return windows and policies vary by store, product, country and circumstance, and change over time. You are solely responsible for confirming and meeting any actual return or warranty deadline with the retailer. We are not responsible for a missed return window, a rejected return, a price you paid, a discount you did not receive, or any other purchase decision you make.

6. Price monitoring and notifications

Price monitoring and alerts run on your device using time that the operating system grants to background tasks. How often, or whether, a check runs depends on iOS, your device, your settings, your connection, and the retailer's website. Monitoring and alerts are best-effort and are not guaranteed to run on any schedule, to detect every price change, or to be delivered in time or at all. Do not rely on Shopps as your only means of catching a price change or a deadline. Notifications are generated locally on your device.

7. Acceptable use

You agree to use Shopps lawfully and only as intended. You will not: use the app for any unlawful purpose; attempt to reverse engineer, decompile, or interfere with the app except to the extent this cannot be restricted by law; use the app to infringe anyone's rights; or use it to place unreasonable load on, or otherwise misuse, any third-party website.

8. Intellectual property

Shopps, including its name, design, wordmark, and software, is owned by us and protected by intellectual property laws. These Terms do not transfer any ownership to you. Content you create in the app (your notes, images, and items) remains yours; you are responsible for having the right to store it. Store names, logos, and trademarks that appear in the app belong to their respective owners, and their appearance does not imply any affiliation or endorsement.

9. Retailers and third-party services

Shopps links to and reads from third-party retailer websites and relies on services provided by Apple. We do not control these third parties and are not responsible for their content, prices, availability, policies, accuracy, security, or practices. Your dealings with any retailer are solely between you and that retailer and are subject to their terms.

10. Disclaimer of warranties

Shopps is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the app will be uninterrupted, error-free, secure, or that any information, price, deadline, or alert it provides is accurate, timely, complete, or reliable. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you, and you may have statutory rights that these Terms do not limit.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, savings, data, or goodwill, arising out of or relating to your use of, or inability to use, Shopps — including any purchase decision, missed price, missed return or warranty deadline, inaccurate information, or failure of monitoring or notifications.

To the fullest extent permitted by law, our total aggregate liability for any claim relating to Shopps will not exceed the greater of the amount you paid us for the subscription in the twelve months before the claim, or ten euros (€10).

Nothing in these Terms excludes or limits our liability where it cannot lawfully be excluded or limited, including liability for death or personal injury caused by our negligence, or for fraud. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you, and this section does not affect mandatory consumer rights you have under the law of your country.

12. Indemnification

To the extent permitted by law, you agree to indemnify and hold us harmless from any claims, losses, or expenses arising out of your misuse of the app or your breach of these Terms. This does not apply to the extent a claim results from our own wrongdoing, and it does not limit your mandatory consumer rights.

13. Termination

You may stop using Shopps at any time by deleting the app. We may suspend or end your licence if you materially breach these Terms or misuse the app. Sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — continue to apply after termination.

14. Apple App Store terms

The following applies because you obtained Shopps from the Apple App Store:

• These Terms are between you and us only, not with Apple. We, not Apple, are solely responsible for Shopps and its content.
• Your licence to use Shopps is limited to use on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
• Apple has no obligation to provide any maintenance or support for Shopps.
• To the extent permitted by law, Apple has no warranty obligation for Shopps. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price where applicable; otherwise, Apple has no other warranty obligation.
• Apple is not responsible for addressing any claims by you or a third party relating to Shopps, including product liability, failure to conform to legal or regulatory requirements, and consumer protection claims.
• If a third party claims Shopps infringes their intellectual property, we, not Apple, are responsible for the investigation, defence, settlement, and discharge of that claim to the extent required by these Terms.
• You represent that you are not located in a country subject to a relevant U.S. Government embargo and are not on any U.S. Government restricted-parties list.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

15. Governing law and your consumer rights

These Terms are governed by the laws of Denmark, without regard to conflict-of-laws rules. However, if you are a consumer, you benefit from any mandatory protections of the law of the country where you live, and nothing in these Terms deprives you of those rights or of your right to bring proceedings in your local courts where the law allows.

If any provision of these Terms is found unenforceable, the rest remains in effect.

16. Changes to these terms

We may update these Terms as the app changes or the law requires. We will revise the "Last updated" date above, and for material changes we will give more prominent notice where appropriate. Continuing to use Shopps after an update means you accept the revised Terms.
